DigiWrist Technology, Inc. EULAEND USER LICENSE AGREEMENT (EULA) This End User License Agreement (“EULA”) is a legal agreement between you and DigiWrist Technology, Inc. (“DigiWrist”, “we”, “us”) regarding the DigiWrist software, hardware, associated media, content, data, materials, and electronic documentation (“DigiWrist Software and Hardware”) for use with DigiWrist products and devices (“DigiWrist Products”).By using DigiWrist Products, you accept the terms of this EULA. If you do not accept these terms, do not use the DigiWrist Products or the DigiWrist Software.1. Grant of License.DigiWrist grants you a limited, non-exclusive, non-transferable license to install, use, access, display, and run one copy of the DigiWrist Software on a single DigiWrist Product or device. This license is subject to an annual subscription fee as determined by DigiWrist. Any open-source components of the DigiWrist Software may be governed by separate licenses which may override some terms of this EULA.2. Reservation of Rights and Ownership.DigiWrist reserves all rights not expressly granted to you in this EULA. The DigiWrist Software and Hardware are protected by copyright and other intellectual property laws. The Software and Hardware, including any related intellectual property, are licensed, not sold, and remain the sole property of DigiWrist, regardless of whether the DigiWrist Product is purchased or leased.3. Intellectual Property Rights.You acknowledge that DigiWrist retains ownership of all intellectual property rights in the DigiWrist Software and Hardware, including any updates, upgrades, or modifications, regardless of how the hardware or software is provided (purchased, leased, or otherwise). This EULA does not grant you any rights to use the trademarks, trade names, or logos of DigiWrist except as necessary for your use of the DigiWrist Software in compliance with this EULA.4. Limitations on Use.You may not, and may not permit others to:

• Copy, modify, or create derivative works of the      DigiWrist Software or Hardware;
• Reverse engineer, decompile, or disassemble the      DigiWrist Software or Hardware;
• Lease, rent, sublicense, or distribute the DigiWrist      Software or Hardware;
• Use DigiWrist Software across multiple devices      without appropriate licenses;
• Transfer your rights under this EULA unless it’s a      full transfer of all DigiWrist Software and Hardware, subject to      DigiWrist’s prior consent.

5. Software Updates.DigiWrist may provide updates, upgrades, and patches to the DigiWrist Software (“Updates”). These Updates are subject to this EULA unless additional terms are provided with the Updates. Automatic Updates may be necessary for security purposes or performance improvements, and these may occur without prior notice to you. We recommend you maintain regular updates for optimal security and functionality.6. Data Collection and Privacy.By using DigiWrist Products, you consent to DigiWrist’s collection and use of technical and personal data as outlined in our Privacy Policy. This data may include diagnostic, technical, and usage information to facilitate product support, Updates, and improvements. DigiWrist will not share this data in personally identifiable forms unless required by law or with your explicit consent.7. Termination.This EULA is effective until terminated by DigiWrist. Your rights under this EULA will terminate immediately if you fail to comply with any terms. Upon termination, you must cease all use of the DigiWrist Software and destroy all copies.8. Limited Warranty.All DigiWrist Software and Hardware are provided “as is” without any warranties, express or implied. DigiWrist disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.9. Limitation of Liability.DigiWrist will not be liable for any direct, indirect, incidental, or consequential damages arising from your use of the DigiWrist Software or Hardware. This limitation applies even if DigiWrist has been advised of the possibility of such damages.10. Applicable Law and Jurisdiction.This EULA is governed by the laws of the State of Nevada, USA, without regard to conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts located in Nevada for any disputes arising out of this EULA.11. Indemnification.You agree to indemnify and hold DigiWrist harmless from any claims, damages, or legal fees arising from your violation of this EULA or any misuse of the DigiWrist Software or Hardware.12. Force Majeure.DigiWrist shall not be liable for any failure to perform its obligations under this EULA due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, strikes, or government regulations.
